Services and Project Documents
1.1 Ranges Australia will provide project-based services through its sub-brands (Ranges Technology, Ranges Digital, Ranges Media) as described in one or more Project Documents agreed in writing.
1.2 Each Project Document includes: objectives, scope, key deliverables, fees, charging model (fixed price and/or time and materials), milestones, and assumptions/exclusions.
1.3 Multiple Project Documents may be agreed over time. Each is governed by the MSA and this PSA.
Delivery Approach (including sprints)
2.1 Work may be delivered in phases, sprints, or iterative cycles as specified in the Project Document.
2.2 Where sprints are used, the Project Document specifies sprint length, activities, outputs, and prioritisation.
2.3 Iterative delivery may refine scope within the agreed budget and objectives.
Client Responsibilities
3.1 Client provides timely information, decisions, feedback, and access required for delivery.
3.2 If inputs or approvals are late (per Project Document or reasonable time), Ranges Australia may:
- Adjust timelines
- Pause work until received
3.3 Ranges Australia is not liable for delays or costs caused by late Client inputs.
Changes to Scope
4.1 Changes to scope, deliverables or timeline require written agreement.
4.2 Ranges Australia will advise impact on fees/timing. No material change binds without agreement.
4.3 Changes documented via change request or revised Project Document.
Fees and Invoicing
5.1 Fees and charging model per Project Document.
5.2 Unless specified otherwise:
- Time & materials: monthly in arrears at current rates
- Fixed fee: per milestones/dates in Project Document
5.3 Payment terms per MSA.
Acceptance
6.1 Client reviews deliverables against criteria within specified time (or 10 Business Days).
6.2 Accepted on: written acceptance, Client use, or review period expiry without material issue notice.
6.3 Material issues addressed per scope.
Suspension & Termination
7.1 Ranges Australia may suspend for non-payment or missing inputs.
7.2 Either party may end a Project Document per MSA terms.
7.3 Client pays for work to suspension/termination date + non-cancellable costs.
Third-Party Services
8.1 Third-party platforms/services may be used. Client accepts notified terms.
8.2 Ranges Australia not liable for third-party availability/performance.
MSA Relationship
9.1 This PSA is subordinate to MSA. MSA terms apply except where Project Document varies expressly.
